We have been retained to identify an acquirer for this well respected System Hardware and Software Development Company. Headquartered in Hauppauge, NY since 1983, the Company designs, develops, and manufactures electronic systems for commercial applications; ranging from hardware and software designs, to system designs, to full families of products. The Company’s designs are used in the medical industry, consumer, communications, and aviation sectors, securities market, and the fire and rescue community. The Company is a multi-faceted technology and engineering company that provides businesses with innovative solutions to their design needs. Their products are in wide use, supporting communication systems, fire and rescue units, and security trading systems. Their products have been sold to major institutions and organizations including the New York Stock Exchange, Cantor Fitzgerald, the US Air Force, Associated Press, Kencast, and numerous Fire/Rescue Districts. The financial position of the firm is quite sound. The Company’s revenues have grown annually at an average (CAGR) of 12% over the past three years and an impressive 34% in 2007 over 2006. The ideal acquirer will be a firm engaged in similar or complementary work with a strategy to acquire several noteworthy and profitable customer relationships, product lines, and/or engineering, design, and manufacturing capabilities. Securing these types of assets via acquisition as opposed organic growth and direct sales often yields better results and less risk. The owners will entertain offers of varying financial and legal structures; each will be evaluated on its own merit and in relation to other offers. Proposals and Letters of Intent are expected in the 4 to 6 times EBITDA range, subject to deal structure and other terms.
