ENTERTAINMENT IS A RAPIDLY GROWING INDUSTRY – RECORD COMPANY FOR SALE

About 70% of the music available to the public is controlled by the Big Four: Universal Music, Sony BMG, EMI Group, and Warner Music Group. Music is big business and big money. The remaining 30% is controlled by smaller record companies and labels. Hear Music by Starbucks is a good example. A record label is a form of branding, and a record company manages such brands and trademarks; coordinates the production, manufacture, distribution, promotion, and enforcement of copyright protection of sound recordings and music videos; conducts A&R (artists and repertoire); and maintains contracts with recording artists and their managers.

This Indie (independent) record company is in a growth stage with a number of artists under contract to continue producing music. Currently in distribution are 17 albums (collections of songs by an artist) available in CD format from retail outlets such as Barnes and Noble, and Borders Books; and in digital format, distributed by CD Baby® and iTunes® and hundreds of other internet music services. The music is widely distributed throughout the United States and in 20 countries around the world. The owners of the company have produced compilation albums as well as collections by single artists and bands. With 17 in distribution, there are three additional finished albums ready for distribution, and 11 additional albums yet to be recorded are due from the various artists under contract.

Books, records, tax returns are all in excellent shape and will be made available to a prospective buyer after an acceptable offer has been accepted but before opening escrow as a condition of the purchase. The sellers have moved on to their primary careers and no longer find the business interesting. They spend a few hours each week meeting to discuss the current status of the business. They have undertaken no new projects, and have been on coast for about 18 months. Revenues have declined during this period but sellers discretionary earnings (SDE) have increased significantly. This is a business loaded with front-end expenses. But on an ongoing basis the costs of operation are minimal. And the time spent working on the business is less.
