One partner wishes to retire after 28 years, while the other party is not ready to do so, nor is willing to acquire the other 50% interest. Sales exceeded $10 MM in 2010 and 2011 has exhibited excellent growth since then.

Cash flow to the two partners in 2010 was approximately $600,000. The purchase price is fixed and non-negotiable at $1,350,000 for the 50% interest. An absentee investor could make the acquisition, as the selling partner's daily duties could be replaced, and that partner is willing to stay on through a transition period.
